Welcome to Shoffi, hosted by Avit Tech, LLC. These Terms of Service (“Terms”) govern your use of our websites located at ‘platform.shoffi.app’ and ‘shoffi.app’.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our web pages. Please read it here.

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (“Agreements”). If you do not agree with (or cannot comply with) the Agreements, then you may not use the Service.

1. Account and Service Use

Registration and Management:

• Users can register by providing required information. We reserve the right to suspend or terminate accounts if users violate our terms or engage in illegal activities.

2. App Owners

Subscription Fees:

• Avit Tech, LLC charges a monthly subscription fee. We reserve the right to modify these fees and will notify app owners through platform notifications or emails.

Subscription Billing:

• Billing for certain services is on a subscription basis (“Subscriptions”). Subscriptions are billed in advance on a recurring and periodic basis (“Billing Cycle”). Billing cycles depend on the type of subscription plan selected.

3. Purchases

• If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.
• You represent and warrant that you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase and that the information you supply to us is true, correct, and complete.
• We may employ the use of third-party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

4. Financial Terms

Balance Withdrawal:

• Affiliates must meet the minimum balance to request a withdrawal. If app owners fail to pay within 30 days of a request, their account may be suspended.

Fee Changes:

• Avit Tech, LLC, in its sole discretion and at any time, may modify Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with a reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

5. Refunds

Subscription Fees:

• Paid subscription fees are generally non-refundable, except as required by law.

6. Paying Affiliates

• App owners are responsible for timely payments to affiliates. Payments are processed directly to the affiliate’s PayPal account, as detailed on each payment request in the owner’s dashboard.

7. Content

User-Generated Content:

• Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post to the service, including its legality, reliability, and appropriateness.

8. Prohibited Uses of the Service

Restrictions:

• You may not use the service in any manner that could disable, overburden, damage, or impair the service or interfere with any other party’s use of the service. This includes using the service in a way that could interfere with the normal operation of the service, compromise security, or allow unauthorized access to user data.

9. Intellectual Property Rights

• Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Avit Tech, LLC and its licensors. Service is protected by copyright, trademark, and other laws of foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Avit Tech, LLC.

10. Communications

• By creating an Account on our Service, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing.

11. Disclosure of Your Information

• We do not sell or share your personal information with third parties for their direct marketing purposes without your explicit consent.

• We strongly advise you to read the terms of service and privacy policies of any third-party websites or services that you visit.

14. Error Reporting and Feedback

• You may provide us directly at [email protected] with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

15. Disputes

• If an app owner doesn’t pay an affiliate partner its commission, Avit Tech, LLC keeps the right to take any action against the app owner, including permanent suspension from the platform.
• Avit Tech, LLC doesn’t guarantee to pay the affiliate partner the missing amount whatsoever. The affiliate contract is between an app owner and the affiliate, and Avit Tech, LLC isn’t part of it.

16. Termination

• We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.
• If you wish to terminate your account, you may simply discontinue using Service.
• All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of Delaware, USA, without regard to its conflict of law principles.

18. Limitation of Liability & Disclaimer

Disclaimer of Warranties:

• The services provided by Shoffi are available “as is” and “as available”. Avit Tech, LLC does not warrant that the service will be uninterrupted or error-free. There may be delays, omissions, interruptions, and inaccuracies in the information or other materials available through our service. We do not make any warranties, express or implied, including, without limitation, those of merchantability and fitness for a particular purpose, with respect to our services or any information or goods that are available or advertised or sold through our services.

Limitation of Liability:

• To the maximum extent permitted by applicable law, Avit Tech, LLC shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from the use of or inability to use our services, including but not limited to financial losses, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the service, including but not limited to errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

User Acknowledgment:

• You specifically acknowledge that Avit Tech, LLC shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

Exclusions:

• Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the extent permitted by law.
• By using Shoffi, you agree to this limitation of liability and release Avit Tech, LLC from any claims and acknowledge that the limitations set forth above are fundamental elements of this agreement.

19. Modifications to Terms

• We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting. Continued use of our service after changes will constitute your acceptance of those changes.

20. Acknowledgement

• BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
